Roy Schneider's areas of practice include business planning, entity formation, mergers, acquisitions and sales of businesses, employment law, contracts, transactional matters of all kinds, real estate transactions, homeowners associations, non-profit law and estate planning. Business & Corporate Transactions Roy advises and represents companies and entrepreneurs with a broad range of business related services. He advises his clients on business law, start-up assistance related to the choice and formation of an entity, the protection of a trademark or license agreement and regularly assists with buying or selling a business. Roy prepares contracts of all types with the view of making sure his clients are well protected and that they are sure get paid for their goods or services. Employment Counseling Roy assists his clients, with respect to all aspects of personnel matters, including employee discipline, wrongful termination, retaliation, discrimination, hostile work environment, sexual harassment, leaves of absence, Americans with Disabilities Act, Fair Employment and Housing Act, Fair Labor Standards Act, and the California Labor Code. Roy also develops and reviews employee handbooks and employment policies for his clients. Roy also provides California's AB1825 mandatory two-hour training for supervisory employees in the identification, investigation and prevention of sexual harassment in the workplace. Roy manages independent investigations, coordinates with applicable government agencies and resolves employee claims before they escalate into lawsuits. Roy has drafted and negotiated employment agreements for executives of multi-national corporations and municipalities. He has authored several articles on employment issues and frequently lectures to business owners regarding various employment topics such as employees vs. independent contractors, sexual harassment in the workplace, overtime, meal and rest breaks, and hiring, disciplining and terminating

- Q. I have 3 kids, I live with my boyfriend who I have one child with. What do I need to do for the house to go to my kids.
- A: You should make sure your boyfriend is not claiming any interest in the house. Should you get married, consider a prenuptial. To fully protect your kids you should set-up a trust and put the house on the trust. Should you pass away, your trustee can keep or sell the house for the benefit of your children until they reach certain ages and receive their share.
- Q. Can a 3rd party avoid/get out of a pre-incorporated company contract? Please explain. Thanks in advance! (Business Law)
- A: The answer depends on the language of the contract and if there was any consideration and what has happened to the corporation, if anything?
- Q. If I put a house valued at $7.0M with a $4.0M mortgage into a bypass trust, is my heir subject to estate
- A: If the bypass trust was properly set up, there will be no estate tax regardless of the value.
