A: I understand that you are moving into an innovative period in your lives as partners and would require an ironclad agreement to keep things moving seamlessly.

These issues are typically addressed in the LLC formation’s LLC Operating Agreement, which both partners should collaborate on. The LLC's collaborative agreement should be notated in every standard operating agreement. The customization of operations that are joint in function and execution requires attention to detail. In addition, both parties have to be in accord with the fair split of duties. Business partners can co-labor in helping to draft their LLC Operating Agreement with one attorney. A two attorney collaboration is not absolutely necessary. I therefore respectfully disagree with the notion that separate counsel is necessary because it is not absolutely required.

Partnership Structure:

• Form a legal entity (e.g., LLC) to define roles, responsibilities, and financial terms.

• Create a formal partnership agreement for clarity and transparency.

Profit-Sharing:

• 66% to Partner A, 34% to Partner B, based on contributions (capital, expertise, time).

• Distribute profits after expenses, with a 10-20% reserve fund for liabilities/reinvestment.

Decision-Making:

• Maintain 50/50 authority for equal strategic and operational control.

• Delineate primary roles based on strengths; use meetings or decision matrix for shared tasks.

Expense Management:

• Track expenses meticulously, categorizing as business or personal.

• Reimburse expenses from revenue before profit distribution.

Liability and Risk:

• LLC limits personal liability; secure business insurance (general/professional liability).

Dispute Resolution:

• Resolve conflicts via mediation or a pre-agreed third-party arbitrator.
