Biography

I am a business lawyer, real estate lawyer and immigration attorney. I represent clients in title and real estate matters who are purchasing, selling or refinancing a home or business; negotiating a lease on commercial or residential property and litigating issues that arise from real estate transactions. I provide day-to-day legal and business counseling to both established and successful companies, as well as startups. I offer my clients unparalleled transactional expertise from business formation and preparation of business contracts, to business financing, mergers and acquisitions. U.S. immigration laws are very complex and the factors to be considered are unique to every case. I assist my clients in work visas, family petitions, marriage and fiance visas, investor visas and citizenship.

Q. Can my dead sister's husband claim my sister's inheritance?
A: Hi, he may have a claim, but you may have one too. You should meet with a Florida Probate attorney to examine the dates and facts to determine your rights and actions you must take.
Q. My informal business partner is not pulling his weight and I'd like to take the product and move on without him.
A: You may have formed a general partnership. A partnership is a business form created automatically when two or more persons engage in a business enterprise for profit. I would have him signed documents stating that no partnership was formed and disclaiming any rights to the product.
Q. Do I need to form a corporation to buy an existing business in my town?
A: You can buy a business via an asset purchase, where you will have to create a corporation or LLC to buy the assets or you can buy the whole corporation. An asset purchase is like having an all-you-can-eat buffet. It allows you to be able to pick what you want and ignore the funny tasting stuff. You have a chance to sample everything and pick only what you want.

In an asset purchase, you essentially strip the business you want to buy to the bare bones. Then you pick the assets you want and leave behind what you do not want. The obvious advantage of this is that you get to see exactly what it is you are buying before you take the plunge.

You also have the added advantage of being able to shed what you feel you cannot carry. This is a very ‘safe’ approach as it exposes you to less risk.
