The law firm advises clients with respect to the legal and business complexities of a wide variety of corporate and securities transactions and issues, including but not limited to initial public offerings; handling of litigation matters; New York Stock Exchange and NASDAQ listings; private placements; venture capital offerings; public and private debt offerings; reverse mergers, proxy statements; SEC annual and periodic reports; insider trading and compliance programs and required insider filings; representation of clients before FINRA, NYSE, AAA, DOJ, PCAOB proceedings, arbitrations, litigation, corporate governance and public disclosure matters.
Managed a staff of twenty-five (25) professionals in a publicly-traded (OTC: JTMC), NASDAQ securities firm with over 1,200 employees in twelve (12) locations.
-Served as General Counsel to four (4) separate broker-dealer subsidiaries of parent organization.
-Directly involved with all aspects of securities and corporate law, including supervision of legal staff in the preparation and filing of registration statements, listing applications, blue sky memoranda, offering documents, debts instruments, letters of credit, drafting of corporate business plans and private placement offerings.
-Drafting various agreements, letters of intent, corporate consents and board minutes.
-Negotiating and drafting purchase agreements, employment contracts and leases.
-Established procedural compliance with SEC, FINRA and NYSE rules and regulations and state securities law.
-Overseeing of all litigation matters.
-Reviewing and authorizing all in-house and outside legal expenses and fees
Responsible for SEC filings, initial public offerings, private placement offerings, mergers and acquisitions, blue sky filings and general corporate practice.
