David Weinstein
David A. Weinstein, Esq. practices in the areas of Business Law, Software Development Law, Employment Law, Commercial Transactions Law, Health Care Law, Franchise Law and Intellectual Property Law. In addition, David has had extensive experience representing a variety of major financial institutions in both the credit card and the financial transaction industries.
David also served as General Counsel for Ion Broadcasting Corporation as well as several publicly traded companies.
David also presently serves on the Board of Advisors to Duration Inc., a multinational software development company.
David has served as the Chairman of the Electronic Funds Transfer Committee of the American Bar Association’s Section of Science and Technology and was Vice-Chairman of the American Bar Association’s Section of Science and Technology Computer Crime Committee. David remains active in the ABA Business Law Division.
David was also member of the New Jersey State Bar Association’s Business Law Section, Intellectual Property Law Section as well as the Internet and Computer Law Committee. David was a member of the New York State Bar Association's Intellectual Property Law Section, Internet Law Committee and the Technology Transfer and Licensing Committee. David was also a member of the New York State Bar Association's Business Law Section's, Committee on Corporations and other Business Entities and the New York State Bar Association's International Law and Practice Section.
David has also published numerous articles on a variety of legal topics ranging from technology related legal issues to business law issues.
David is admitted to practice law in New York and New Jersey. David has also been admitted to appear before the United States District Court for the District of New Jersey and the United States District Court for the Eastern and Southern Districts of New York.

- Q. Sue for beach of fiduciary duty in foreign-registered state of business?
- A: The first thing you need to do is see if the shareholders agreement provides for the location where all disiputes are to be resolved. You also have to make sure the shareholders agreement does not provide for a specific method of resolving disputes such as arbitration. Assuming it is silent on both those issues and you reside in New York, then there should be no issue for you suing in New York. That being said, prior to bringing the suit, you should have an attorney review the shareholders agreement, because it is easy miss things in agreement when you are unsure what your looking for.
- Q. I currently have an active LLC, but use many names under neath. The dba certificate is asking for my name, do I put LLC?
- A: Corporations, limited partnerships, and limited liability companies are required by statute to conduct activities under their true legal name. If a corporation, limited partnership, or limited liability company desires to conduct activities under a name other than its true legal name, a certificate complying with Section 130 of the General Business Law must be filed with the New York State Department of State specifically known as Certificate of Assumed Name.
